Terms of Service

Thank you for using Rory. By using Rory, you agree to these Terms of Service, which form a legal agreement between you and us. If you are using Rory on behalf of an organization, you are agreeing to these Terms on behalf of that organization. These Terms apply to your use of our Website and Services.

Definitions

When we say "we," "our," or "us," we mean FinRank, Inc., a Delaware corporation doing business as Rory, and our employees, directors, officers, affiliates, and subsidiaries.

When we say "you" or "your," we mean the person or entity using the Rory Services or registered with us to use them.

When we say "Terms," we mean these Terms of Service, which include our Privacy Policy and our Rewards Terms.

When we say "Website," we mean our website located at roryauto.com, including all subdomains and associated sites, and any other websites we operate now or in the future.

When we say "Services," we mean our Website, mobile applications, application programming interfaces (APIs), our content, and the third-party services that together make up Rory.

When we say "Rory," we mean our Website and Services collectively.

When we say "information," we mean the data you provide to us and the data we collect from your use of the Services and your devices.

Rory Is Not a Lender

Rory is a payments and rewards platform. We are not a lender, loan servicer, or depository institution. Your auto loan remains with, and continues to be serviced by, your financial institution. Using Rory does not change the terms of your loan, your interest rate, your payment obligations, or your relationship with your financial institution. Payments you initiate through Rory are made to your financial institution under your existing loan agreement.

General Rules

To use Rory, you must:

1. be at least eighteen (18) years of age;
2. complete the registration process;
3. provide current and accurate information;
4. agree to these Terms of Service; and
5. follow these rules:

• You are responsible for all content you provide and for all of your activities on Rory;
• You will use Rory in compliance with all applicable laws, rules, and regulations;
• You will only link loans and accounts that you own or are authorized to manage;
• You will not use Rory to solicit the performance of any activity that infringes our rights or the rights of others;
• You will not use Rory to upload, transmit, or otherwise distribute any objectionable content, as solely determined by us; and
• You will not use Rory to conduct any fraudulent or illegal activities.

If you violate any of the statements above or any of the rules in these Terms, we may suspend or terminate your account. Your actions may also subject you to legal consequences.

As long as you comply with these Terms, we grant you a non-exclusive, non-transferable, limited license to use Rory. Your use of Rory is at your own risk.

Rewards

Rory lets you earn points on eligible auto loan payments. Points are promotional in nature: they are not money, do not constitute property, have no cash value, and are not transferable or assignable. Earning rates, redemption options, and program rules are described in the app and may change, be suspended, or be discontinued at any time. Points may be forfeited if your account is closed for violating these Terms. Reward availability may depend on participation by your financial institution.

Text Messages

If you provide your phone number and request an invite or enable notifications, you consent to receive text messages from us related to the Services. Message and data rates may apply, and message frequency varies. You can opt out at any time by replying STOP. Consent to receive texts is not a condition of using the Services.

Intellectual Property

You own your content. We do not claim any intellectual property rights over the information you provide to us.

We own Rory and our Services. You may not copy, reproduce, alter, modify, resell, mirror, or create derivative works of Rory, our Services, or our content without our written permission.

You grant us a royalty-free, worldwide, transferable, sub-licensable, irrevocable, and perpetual license to incorporate into Rory or otherwise use any suggestions, enhancement requests, recommendations, or other feedback we receive from you or your agents.

Passwords and Accounts

You are responsible for keeping your account credentials confidential and for any account you have access to. You agree to notify us immediately of any unauthorized use of your account. We are not responsible for any losses due to stolen or hacked credentials. You will not represent that you are any other individual or entity unless that individual or entity has given you written permission to act on their behalf.

Fees and Payments

Rory is free for drivers. If any feature ever requires a fee, we will disclose it before you incur it, and the following applies: payments are billed in U.S. dollars; any fees are exclusive of taxes or duties imposed by governing authorities, which are your sole responsibility; and we reserve the right to change service fees consistent with the terms of any agreement we may have with you.

Payments you schedule or initiate toward your auto loan through Rory are processed on behalf of your financial institution and are governed by your loan agreement with that institution. We reserve the right, but have no obligation, to refuse service to anyone and to close accounts without notice for any or no reason.

Indemnification

You agree to indemnify and hold us harmless from any and all demands, losses, liabilities, claims, or expenses (including attorneys' fees) made against us by any third party due to, arising out of, or in connection with your use of Rory.

Representations and Warranties

To the maximum extent permitted by law, we provide Rory on an "as is" and "as available" basis. We do not provide warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability and fitness for a particular purpose, and we do not warrant that:

1. Rory will meet your specific requirements;
2. Rory will be uninterrupted, timely, secure, or error-free;
3. the results obtained from the use of Rory will be accurate or reliable; or
4. any errors in Rory will be corrected.

Limitation of Liability

To the fullest extent permitted by law, you assume full responsibility for, and we disclaim liability to you for, any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if we had been advised of the possibility of such damages.

We disclaim any and all liability for the acts, omissions, and conduct of any third parties related to your use of Rory and any linked sites and services, including your financial institution's servicing of your loan. Your sole remedy against us for dissatisfaction with Rory is to stop using Rory. This limitation of relief is a part of the bargain between you and us. The preceding disclaimer applies to any damages, liability, or injuries whether for breach of contract, tort, negligence, or any other cause of action.

If, notwithstanding the other provisions of these Terms, we are found to be liable to you for any damage or loss arising out of or connected with your use of the Website or Services, our liability shall not exceed the amounts you paid us for the Services in the previous month. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Governing Law; Dispute Resolution

You agree that all matters relating to your access to or use of Rory, including all disputes, will be governed by the laws of the United States and the laws of the State of Delaware, without regard to its conflicts of laws provisions. You agree to personal jurisdiction by, and venue in, the state and federal courts located in Delaware, and waive any objection to such jurisdiction or venue. Any claim under these Terms must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred.

No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys' fees. In the event of any controversy or dispute between us and you arising out of or in connection with your use of the Website or Services, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

Force Majeure

You agree that we are not liable for any delays or failure in performance of any part of the Services from any cause beyond our control.

Severability

If one or more sections of these Terms are held unenforceable, those sections will be removed or edited as little as necessary, and the rest of the Terms will remain valid and enforceable.

Assignments

You may not assign any of your rights under this agreement to anyone else. We may assign our rights to any other individual or entity at our discretion.

No Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms and all documents incorporated into these Terms by reference constitute the entire agreement between you and us and govern your use of Rory, superseding any prior agreements between you and us, including any prior versions of the Terms of Service.

Amendments and Changes to Rory

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of these Terms at any time. Amendments or changes to these Terms won't be effective until we post revised Terms on the Website. Unless explicitly stated otherwise, any new features that augment or enhance Rory shall be subject to these Terms.

It is your responsibility to check these Terms periodically for changes. Your continued use of Rory following the posting of changes means you accept and agree to the changes.

We reserve the right to do any of the following, at any time, without notice to you:

1. modify, suspend, or terminate operation of or access to Rory, or any portion of Rory, for any reason;
2. modify or change Rory, or any portion of Rory, and any applicable policies or terms; and
3. interrupt the operation of Rory, or any portion of Rory, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
